Welcome to FocalPointOS. These Terms and Conditions ("Terms") govern your use of our website, mobile applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our Services.

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years of age.

2. Description of Services

FocalPointOS provides a business management platform that includes:

• AI-powered voice concierge for call handling
• Client relationship management (CRM)
• Proposal and contract management
• Invoicing and payment processing
• Team scheduling and management
• Client portal access
• AI assistant for business support
• Equipment tracking
• Training and course management

3. Account Registration

3.1 Account Creation

To use our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activity.

4. Subscription Plans and Pricing

4.1 Plans

We offer the following subscription plans:

4.2 Add-On Services

• AI Concierge Setup: $199 one-time fee
• Additional Phone Lines: $129 each
• Templated Landing Page: $399 one-time
• Custom Landing Page: $799 one-time
• AI Concierge Pro: $150/week or $600/month
• AI Minutes Overage: $0.50 per minute

4.3 Price Changes

We reserve the right to change our prices. We will provide at least 30 days' notice before any price changes take effect for existing subscribers.

5. Billing and Payment

5.1 Payment Methods

We accept payment via credit card through our payment processor, Stripe. By providing payment information, you authorize us to charge your payment method for the fees associated with your subscription.

5.2 Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen plan. Your billing cycle begins on the date you subscribe.

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal.

5.4 Failed Payments

If payment fails, we will attempt to charge your payment method again. If payment continues to fail, your account may be suspended or downgraded.

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.

6.2 Refund Policy

• Monthly Subscriptions: No refunds for partial months
• Annual Subscriptions: Prorated refund available within the first 30 days
• Setup Fees: Non-refundable once services have been initiated

6.3 Data After Cancellation

Upon cancellation, your data will be retained for 30 days, after which it may be permanently deleted. You may request a data export before cancellation.

7. Acceptable Use

You agree NOT to use our Services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Send spam, unsolicited messages, or engage in harassment
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our Services
• Collect user information without consent
• Use the AI features to generate harmful, illegal, or deceptive content
• Resell or redistribute our Services without authorization
• Use our Services for illegal telemarketing or robocalling

8. AI Services

8.1 AI Concierge

Our AI Concierge service handles incoming calls on your behalf. You acknowledge that:

• AI responses are automated and may not be perfect
• Calls may be recorded and transcribed for service improvement
• You are responsible for the accuracy of information provided to the AI
• AI usage is subject to minute limits based on your plan

8.2 AI Assistant

Our AI Assistant provides business support and recommendations. The AI Assistant:

• Provides general guidance, not professional advice
• May occasionally produce inaccurate information
• Should not be solely relied upon for critical business decisions

9. Intellectual Property

9.1 Our Property

FocalPointOS and its content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent.

9.2 Your Content

You retain ownership of content you upload to our Services. By uploading content, you grant us a license to use, store, and process that content to provide our Services.

10. Third-Party Services

Our Services integrate with third-party services including:

• Stripe (payment processing)
• Google Calendar (scheduling)
• Retell AI (voice services)
• OpenAI (AI assistant)

Your use of these integrations is subject to their respective terms of service.

11. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Services will be uninterrupted or error-free
• Defects will be corrected
• The Services are free of viruses or harmful components
• The results from using the Services will meet your requirements

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOCALPOINTOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless FocalPointOS and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit through our Services

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

14.2 Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You agree to waive your right to a jury trial and to participate in class action lawsuits.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FocalPointOS regarding the use of our Services.
